(a) Live Online Seminar services are deemed rendered upon completion of the seminar session.
(b) In-Person Seminar services are deemed rendered for each day upon completion of that day, and fully rendered upon completion of the seminar.
6.4. Objection window (3 days): Any quality objection must be submitted in writing within 3 (three) calendar days after the relevant service portion is deemed rendered. If no objection is received within this period, that portion is deemed accepted in full.
6.5. Non-attendance: Your non-attendance (for any reason) does not prevent services from being deemed rendered if the Academy provided access and/or conducted scheduled sessions.
7) STUDENT OBLIGATIONS & CONDUCT
7.1. You shall personally participate, complete assignments as required, and follow Academy instructions, rules, and community standards.
7.2. You must behave respectfully. The Academy may remove you from chats/sessions or terminate access for harassment, abuse, disruption, illegal behavior, fraud, or IP violations.
7.3. Outcomes depend on your diligence; the Academy does not guarantee career success, income, or specific results.
8) IN-PERSON SEMINAR: CONFIRMATION, RESCHEDULING, TRAVEL & VENUE RULES
8.1. Preliminary dates: Any in-person dates/location shown on the website/Program description are preliminary until officially confirmed by the Academy.
8.2. Official confirmation: The Academy will send confirmation no later than 60 days prior to the preliminary start date. Confirmation may depend on minimum participants and/or feasibility.
8.3. Right to reschedule prior to confirmation: Until confirmation is issued, the Academy may change dates and/or location by notice through official channels.
8.4. Travel risk / warning: Before receiving confirmation, you are strongly advised not to purchase non-refundable (or partially refundable) tickets or accommodations. The Academy does not reimburse travel, accommodation, visa, insurance, or other trip-related expenses incurred prior to confirmation.
8.5. If rescheduled or cancelled by the Academy: The Academy will offer (as applicable):
(a) transfer to next available in-person dates without additional payment; and/or
(b) a refund of the portion of the Fee attributable to the In-Person Seminar (if priced separately), or a proportional refund of value attributable to the In-Person Seminar (if not priced separately), in accordance with Section 10 and Section 14 (Force Majeure).
8.6. Notices are deemed received when sent to your provided contact channels.
8.7. Changes after confirmation: After confirmation, dates/location will not be changed except in Force Majeure, government requirements, safety restrictions, or objectively preventing circumstances.
8.8. Visa responsibility / visa denial: Obtaining a UAE visa (if required), travel permissions, and compliance with entry requirements are solely the Student’s responsibility. Visa denial, delayed issuance, or inability to travel does not entitle the Student to any refund outside the Refund Policy in Section 10, except where mandatory law requires otherwise.
8.9. In-person venue rules & safety: During the In-Person Seminar, the Student must follow venue rules, safety requirements, and instructor directions. Disruptive behavior, refusal to follow safety instructions, or conduct that endangers others may result in removal from the venue and/or termination from the Program without refund, to the maximum extent permitted by law.
9) CERTIFICATE & COMPLETION REQUIREMENTS
9.1. You may receive an Academy certificate upon successful completion of the Purchased Package requirements, which may include completion of modules, attendance, assignments, and final assessments as determined by the Academy.
9.2. The Academy may refuse certification if requirements are not met or if you are terminated for cause.
10) REFUND POLICY (NO AUTOMATIC 14-DAY COOLING-OFF) & LESSON-BASED RECALCULATION
10.1. No automatic “14-day refund”: The Student acknowledges that this Agreement involves access to digital educational content and scheduled services and is not a recurring subscription. Any refund, if applicable, is governed exclusively by this Section 10, except where mandatory law requires otherwise.
10.2. Refund principle: If you terminate after access has been granted, the refund (if any) is calculated based on unviewed Lessons within the Purchased Package, minus applicable fees and costs.
10.3. Viewed Lesson definition (Platform evidence): A Lesson is treated as “Viewed” if Platform logs show access beyond a minimal threshold, opening/downloading of associated lesson materials, or other objective indicators. Platform logs are primary evidence.
10.4. Core formula:
Let:
F = Fee paid for the Purchased Package
TL = Total Lessons included in the Purchased Package
VL = Viewed Lessons (per Platform logs)
UL = Unviewed Lessons = TL − VL
LUP = Lesson Unit Price = F ÷ TL
FC = Fees/Costs (payment processor fees, bank fees, currency conversion fees, chargeback/dispute fees, and costs of printed materials already produced/shipped, if applicable)
Then:
Refund Amount (RA) = (UL × LUP) − FC, but not less than zero.
10.5. Module separation rule: Refund calculation is performed only against the Purchased Package:
(a) If you purchased Module 1 Only, TL and F refer to Module 1 only.
(b) If you purchased the Full Program, TL and F refer to the Full Program package.
10.6. In-Person Seminar cancellation and incurred costs: If you cancel attendance less than 14 days before the scheduled start (or fail to attend), the Academy may deduct actual incurred costs related to your seat and preparations (venue allocation, printed materials, headcount-based arrangements), up to 100% of the portion of the Fee reasonably attributable to the In-Person Seminar, in addition to other deductions permitted under this Section 10.
10.7. Refund request procedure: Refund requests must be submitted in writing via the Academy’s designated support email/channel, including identification and payment proof.
10.8. Timing: The Academy will calculate the refund within 2 business days after receiving a complete request and will process approved refunds within 10 calendar days, subject to bank/processor timelines.
10.9. Chargebacks and disputes: If you initiate a chargeback without first following the refund procedure, the Academy may suspend access pending resolution and deduct dispute-related fees from any otherwise payable refund where permitted.
11) INTELLECTUAL PROPERTY (IP), LICENSE, RESTRICTIONS
11.1. Ownership: All Materials, techniques, trademarks (including Faceplastica™), and Program content are the exclusive property of the Academy and/or licensors. No ownership is transferred.
11.2. License: You are granted a limited, non-exclusive, non-transferable, revocable license solely for personal educational purposes during the Access Period.
11.3. Prohibitions: You shall not record, screen-capture, download (where not permitted), copy, distribute, publish, resell, sublicense, or share Materials; share credentials; bypass security; or create derivative products/courses.
11.4. Instructor restriction: You shall not teach, train, or certify others in the Faceplastica™ method as an instructor without a separate written instructor/teacher license from the Academy.
11.5. Enforcement: The Academy may suspend/terminate access upon suspected IP breach or credential sharing.
11.6. Liquidated damages: For each verified IP breach (including unauthorized distribution, resale, or public posting of Materials, or credential sharing), you agree to pay USD 10,000 per verified breach as liquidated damages (reasonable estimate of harm), in addition to the Academy’s right to seek documented additional damages and injunctive relief where available.
12) NO GUARANTEE OF RESULTS; EDUCATIONAL DISCLAIMER
12.1. The Program is educational and informational. The Academy does not guarantee any specific outcome, clinical result, business result, income, or third-party recognition/licensing.
12.2. You are solely responsible for decisions and actions arising from use of Materials.
13) LIMITATION OF LIABILITY (INCLUDING TRAVEL LOSSES)
13.1. To the maximum extent permitted by law, the Academy is not liable for indirect, incidental, consequential, special, or punitive damages.
13.2. The Academy’s total aggregate liability shall not exceed the Fee actually paid for the Purchased Package.
13.3. The Academy is not liable for Student-side technical failures, third-party outages, payment delays, or events beyond the Academy’s reasonable control.
13.4. Travel losses: Except as expressly stated in Section 8.5 and Section 10, the Academy is not liable for any travel-related losses or expenses (tickets, accommodation, visas, insurance, local transport, missed work, or similar costs).
14) FORCE MAJEURE
14.1. Neither Party is liable for delay or failure due to events beyond reasonable control, including governmental actions, natural disasters, epidemics, war, civil unrest, venue restrictions, sanctions, or widespread network failures.
14.2. If Force Majeure materially affects the In-Person Seminar, the Academy may reschedule, change venue, or offer an alternative delivery format. Remedies (including any refund) will be handled under Section 10 and Section 8.5, subject to incurred costs and applicable law.
15) TERM & TERMINATION
15.1. These Terms become effective upon Acceptance and successful payment and remain in effect until the end of the Access Period unless terminated earlier.
15.2. The Academy may terminate immediately for cause (fraud, abuse, IP violations, credential sharing, serious misconduct). In such case, no refund is due, to the maximum extent permitted by law.
15.3. The Student may terminate by written request, subject to Section 10.
16) GOVERNING LAW & JURISDICTION (DUBAI, UAE)
16.1. These Terms are governed by the laws of the United Arab Emirates as applicable in the Emirate of Dubai.
16.2. The Parties shall attempt amicable resolution. If not resolved within 30 days of written notice, disputes shall be submitted to the competent courts of Dubai, UAE.
17) ELECTRONIC ACCEPTANCE; ENTIRE AGREEMENT; SEVERABILITY
17.1. Electronic acceptance (checkbox, click-to-accept, online checkout payment, or electronic signature) constitutes valid consent and a binding agreement to the extent permitted by law.
17.2. These Terms, together with any checkout/order confirmation referencing them and any appendices, constitute the entire agreement and supersede prior discussions.
17.3. If any provision is held invalid, the remainder remains in effect.
